Terms of Use

These Terms of Use ("Terms") govern your access to and use of the MetaDataImage website and service at metadataimage.com (the "Service"), operated by GroundSwell Resources, Inc. ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MetaDataImage lets you inspect the metadata embedded in images, generate new EXIF, IPTC, and XMP metadata (manually or with AI assistance), embed that metadata into your image files, and store saved exports in an image library. Feature availability depends on your plan.

2. Accounts

You must provide a valid email address and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old (or the age of majority where you live) to create an account. Notify us promptly at support@metadataimage.com if you suspect unauthorized use of your account.

3. Plans, billing, and renewal

Paid subscriptions (Starter and Pro) are billed monthly in advance through our payment processor, Stripe, and renew automatically each month until cancelled. You can cancel at any time from the Billing page; your plan remains active until the end of the paid period. Monthly usage allowances (AI generations or manual saves) reset on the first of each month and unused allowance does not carry over. Refunds are handled per our Refund Policy. We may change prices with at least 30 days' notice; changes apply from your next billing period.

4. Your content

You keep all rights to the images you upload and the metadata you create. You grant us a limited, non-exclusive license to process, store, and transmit your content solely to operate the Service — for example, sending an image to our AI provider to generate metadata, embedding metadata into your files, and storing saved exports in your library. We do not sell your content or use it to train AI models.

You are responsible for your content. You represent that you have the rights to the images you upload and that your use does not infringe anyone's intellectual property, privacy, or other rights.

5. AI-generated content

Metadata produced by the AI is a suggestion, generated automatically from your image and inputs. It may be inaccurate, incomplete, or unsuitable for your purposes. You are responsible for reviewing and editing metadata before publishing or distributing your files — including any claims of authorship, copyright, or attribution it contains.

6. Acceptable use

You agree not to: (a) upload unlawful content or content you lack rights to; (b) use the Service to create misleading attribution or false copyright claims; (c) probe, disrupt, overload, or circumvent limits or security of the Service; (d) resell or provide the Service to third parties as your own; (e) reverse engineer the Service except where the law permits.

7. Third-party services

The Service is built on third-party providers — including Vercel (hosting and file storage), Supabase (authentication), Upstash (database), Stripe (payments), Resend (email), PostHog (analytics), and Anthropic (AI processing). Their availability affects the Service, and payment is subject to Stripe's own terms.

8. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate accounts that violate these Terms, create risk for us or other users, or are required to be terminated by law. On termination we may delete your stored content after a reasonable period.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT METADATA WILL ACHIEVE ANY PARTICULAR SEARCH, INDEXING, OR LEGAL OUTCOME. See also our Disclaimer.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You will defend and hold us harmless from claims arising out of your content or your breach of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date and, for material changes, notify you by email or in-app notice. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law rules. Courts located in Utah have exclusive jurisdiction over disputes not subject to arbitration required by law.
